Leech Tishman’s Corporate Practice Group recently represented a Pittsburgh-based not-for-profit trade association (a subsidiary of a global engineering industry association) as the Buyer in a $26M equity purchase of a strategic competitor, an ISO 17021 accredited international assessment certification and training business. This sophisticated M&A transaction went from LOI (letter of intent) to closing in 60 days.
Through this purchase, Leech Tishman’s client was able to obtain the IETF certification, which will allow them to offer professional development services for specific certifications in the auto manufacturing industry. The acquired company also has an existing joint venture with a company based in Japan, which will help the Buyer to continue to expand their operations there. The client already operates throughout the U.S., Europe, and Asia.
The Corporate team was assisted in this complex transaction by other legal teams within the firm that hold the specialized legal expertise necessary to resolve various issues raised throughout the transaction process.
Leech Tishman’s Transaction Team consisted of:
- Corporate Team: Francesca M. Schiavone, Lee van Egmond, Irfan M. Dinani, Alexander J. Gase, and Sarah C. Norcott
- Leslie J. Messineo: Reps and warranties
- Bruce J. McNeil: Employee benefit matters
- Phil Toomey & Lisa Alexa Jones: Labor & employment matters
- Alicia M. Passerin-Hunt: IP matters
- Forrest T. Passerin: Real estate matters
- James K. Paulick: Data privacy and cybersecurity matters
